Please read these Terms carefully before using the Crypto Hodlers website or holding a Crypto Hodlers NFT. By doing either, you agree to be bound by what follows.

1. About these Terms

These Terms and Conditions ("Terms") govern your access to and use of the Crypto Hodlers website (the "Website"), and the rights and responsibilities that come with holding any NFT issued by the Crypto Hodlers project — including the original Crypto Hodlers collection, the Crypto Todlers collection, and any other NFT collection we issue as part of the project (each, a "Hodler NFT"). The Crypto Hodlers project (referred to as "Crypto Hodlers", "Hodler Lab team", "the Project", "we", "us", or "our") is operated by the Hodler Lab team from Ukraine. You can reach us through the channels listed in Section 23.

By accessing the Website, connecting a wallet, minting, purchasing, or holding a Hodler NFT, you ("you" or "Holder", as applicable) agree to be bound by these Terms. If you do not agree, do not use the Website and do not acquire or hold a Hodler NFT.

2. Eligibility

To use the Website or hold a Hodler NFT, you represent and warrant that:

  • you are at least 18 years old and have full legal capacity to enter into these Terms;
  • you are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive international sanctions, and you are not on any sanctions, restricted-party, or prohibited-party list maintained by Ukraine, the European Union, the United Kingdom, or the United States;
  • you will not use the Website or any Hodler NFT in violation of any applicable law, regulation, or sanctions regime;
  • you understand how self-custodial crypto wallets, blockchain transactions, and NFTs work, and you accept the risks of using them.

3. Key terms

In these Terms:

  • "Hodler NFT" means any non-fungible token issued by the Crypto Hodlers project on a public blockchain — including tokens from the Crypto Hodlers collection, the Crypto Todlers collection, and any other collection we identify as part of the Project — recorded on-chain in the wallet of the Holder.
  • "Art" means the visual artwork, illustrations, animations, alternate versions, trait artwork, and other creative materials associated with a specific Hodler NFT, as referenced by its on-chain metadata from time to time.
  • "Holder" means the person or entity whose wallet is recorded on-chain as the owner of a Hodler NFT at a given moment.
  • "Project IP" means all intellectual property of the Project other than the per-NFT Art licensed to Holders under these Terms — including the Crypto Hodlers name, logos, brand identity, the Website, the smart contracts, the codebase, the world setting, written lore, and any collection-level artwork or branding not tied to a specific NFT.
  • "NCT" means the Name Change Token used by the naming feature described in Section 9 — an ERC-20 token deployed on Ethereum at the address 0x8A9c4dfe8b9D8962B31e4e16F8321C44d48e246E, originally introduced for the Hashmasks project and adopted by the Project for on-chain naming of Hodler NFTs.
  • "Name" means the on-chain string a Holder sets for a specific Hodler NFT through the naming feature described in Section 9.
  • "Account" means the off-chain record the Website maintains to associate one or more wallets, any optional social identifiers you choose to link, and your profile preferences, as described in Section 11.
  • "Primary wallet" means, where an Account has more than one linked wallet, the linked wallet designated by the Holder as the Account's representative address, as described in Section 11.
  • "Memories" means the off-chain achievements the Website awards to a Holder based on participation in the Project and on-chain activity.
  • "Leaderboard" means the public ranking of Holders by Memory score displayed on the Website.

4. What you own when you hold a Hodler NFT

When you hold a Hodler NFT, you own the on-chain token. That ownership is recorded on the blockchain and is not affected by these Terms — we cannot revoke, transfer, or modify your token. What these Terms govern is the separate question of what you can do with the Art that the token is associated with.

We retain ownership of the copyright and other intellectual property rights in the Art and in all Project IP. Subject to these Terms, we grant you the license described in Section 5 for the Art associated with each Hodler NFT you hold, for as long as you hold it.

A Hodler NFT is a digital collectible. It is not a share, security, investment contract, fund interest, or any other regulated financial instrument. Holding a Hodler NFT does not entitle you to any equity, dividend, profit share, voting right, or other financial return from the Project, and we make no promise about the future value of any Hodler NFT.

5. Your license to the Art

For as long as you are the on-chain Holder of a Hodler NFT, we grant you a worldwide, non-exclusive, royalty-free, sublicensable license to use, copy, modify, display, perform, and create derivative works from the Art associated with that Hodler NFT for any lawful purpose, including unlimited commercial use.

What this means in practice

Within the limits set out below, you may:

  • use the Art as your personal or business profile picture, avatar, or identity online;
  • produce, distribute, and sell physical or digital merchandise featuring the Art;
  • use the Art in films, animations, games, music, books, comics, or any other creative work;
  • build a brand, character, or franchise around the Art;
  • license or sublicense your rights in the Art to third parties for purposes consistent with these Terms.

Limits

The license is conditional on you complying with these Terms. You may not, in connection with the Art:

  • use the Art for, or in connection with, any unlawful, fraudulent, defamatory, hateful, harassing, sexually exploitative, or rights-infringing purpose;
  • imply that Crypto Hodlers, the team, or any other Holder endorses you, your goods, your services, or any third party, without our express written permission;
  • use the Crypto Hodlers name, logos, trademarks, or any other Project IP, or otherwise hold yourself out as Crypto Hodlers or as an official representative of the Project;
  • claim copyright or other ownership of the underlying Art itself, as opposed to your own original derivative works built on top of it;
  • register, attempt to register, or claim any trademark, trade dress, or similar right over the Art or any element of it that is not your own original creation.

Authors' moral rights

The personal non-property rights of the authors of the Art — including the right to be identified as the author and the right to the integrity of the work — are inalienable under Ukrainian copyright law and remain with the authors. Nothing in your license under this Section assigns or waives those rights, and you agree not to use the Art in a way that distorts, mutilates, or otherwise modifies it in a manner that is prejudicial to the authors' honor or reputation.

Transfer and termination

The license is tied to the Hodler NFT. If you transfer, sell, gift, burn, lose access to, or otherwise stop being the on-chain Holder of a Hodler NFT, your license to the Art associated with that NFT ends automatically at the moment of transfer, and the same license passes to the new Holder. Lawful uses of the Art that you made or distributed while you were the Holder remain lawful — for example, copies of merchandise you produced and sold while you held the NFT do not have to be recalled.

If you use the Art in violation of these Terms, we may terminate your license with respect to that misuse. Termination of the license for misuse does not affect your ownership of the Hodler NFT itself.

6. Rights we keep

The license described in Section 5 is non-exclusive. We retain a parallel, perpetual, irrevocable, worldwide, royalty-free, sublicensable right to use, reproduce, modify, display, perform, and create derivative works from all Art — including the Art associated with NFTs that are currently held by you or by anyone else — for any purpose, including without limitation:

  • operating and promoting the Website, the Project, and any future Crypto Hodlers products or experiences;
  • marketing, advertising, and promotional materials in any medium, including social media, video, print, events, and partnerships;
  • collection-level merchandise, collectibles, exhibitions, and brand collaborations that feature multiple Hodler NFTs or the Crypto Hodlers brand more broadly;
  • stories, comics, games, animations, and other creative works set in the Crypto Hodlers world;
  • archival, historical, editorial, and educational uses.

Where we propose to feature an individual Hodler NFT as the primary subject of a standalone commercial product (for example, a plush, statue, print, or single-character collectible based on one specific Hodler), we will seek the consent of the current Holder of that NFT before doing so. This limit does not apply to editorial, educational, or promotional uses, to images of multiple Hodler NFTs together, or to collection-level activities described above.

This reservation applies regardless of who currently holds a particular Hodler NFT. Holding a Hodler NFT does not give you any exclusivity over the Art, and our continued use of the Art does not reduce or limit your license under Section 5.

All Project IP — including the Crypto Hodlers name, logos, brand identity, the Website, the smart contracts and codebase, the world setting and lore, and collection-level artwork that is not tied to a specific NFT — is owned by us and is not licensed to you under these Terms. Nothing in these Terms transfers any Project IP to you.

7. Evolving art and metadata

The Crypto Hodlers project is a living one. Over time we may expand, supplement, or technically maintain the Art associated with Hodler NFTs — for example, by adding new artwork, animations, alternate versions, trait expansions, higher-resolution renders, or by migrating files to new hosting where this is needed to keep them available.

When we add new Art to your Hodler NFT, that new Art automatically becomes part of the Art covered by your license under Section 5, on the same terms, without any further action by you. Our reserved rights under Section 6 extend to the new Art in the same way.

We will not materially destroy or replace the original Art of an existing Hodler NFT in a way that takes value away from Holders, except where strictly necessary — for example, in response to a lawful takedown request, to fix a technical or hosting failure, or to address a clear error. Additions and supplements that leave the original Art intact are always permitted.

Companion drops, spin-off collections, and standalone works that are not directly tied to a specific Hodler NFT are separate creative properties. They are not automatically licensed to Holders under these Terms; any rights granted in such works will be described in their own terms or contract metadata.

8. Royalty share

From time to time, secondary-market royalties paid in respect of Hodler NFT trades are received by a smart contract operated as part of the Project (the "Royalty Share Contract"), currently deployed at the address 0x9e37956b39fa75d95ea822de7311b02413496354 on Ethereum. The Royalty Share Contract divides any ETH it receives between a project share, which we claim for the operation and continued development of the Project, and a holder share, which is made available pro rata to Holders of the original Crypto Hodlers collection for claim. Royalties received in respect of trades of other Hodler NFT collections issued by the Project contribute to the same pool but do not create a separate holder-share allocation for holders of those other collections. Holder participation is automatic; no action is required from you other than initiating a claim transaction when you choose to.

Royalties on Hodler NFT trades are not enforced on-chain by the Hodler NFT smart contract itself. They are paid only where a marketplace, aggregator, or seller voluntarily chooses to honor them, and only in the amount that party chooses to pay. The Royalty Share Contract's address is configured by us as a destination through the user interface of the relevant marketplace (for example, OpenSea), not through immutable on-chain logic of the NFT contract. Marketplaces may reduce or eliminate royalty payments at their discretion, sellers may choose to trade through venues that bypass royalties, and aggregators may route trades through marketplaces that pay no royalty. We have no technical means to compel, recover, or reverse such decisions. If funds stop arriving at the Royalty Share Contract for any reason, no distribution occurs, and we make no commitment to maintain any particular marketplace configuration.

All distributions through the Royalty Share Contract, when they occur, are made in the native cryptocurrency of the underlying blockchain (for example, ETH on Ethereum). The Royalty Share Contract's core logic is immutable: amounts that have already been allocated or distributed cannot be reversed, redirected, clawed back, or modified by us. The contract does expose a configuration method that allows us to adjust the split between the project share and the holder share going forward. Any such adjustment applies only to funds received by the contract after the adjustment takes effect and does not affect amounts already allocated. We will announce any change to the split publicly in advance through our official channels.

The Royalty Share Contract handles only the native cryptocurrency of the underlying blockchain (ETH on Ethereum). It does not have logic to receive, account for, or distribute ERC-20 tokens, other NFTs, or any other on-chain asset. If any such asset is sent to the contract — whether by mistake, by a marketplace that pays royalties in an asset other than ETH, or by any third party — we have no technical ability to retrieve, return, or distribute it, and we accept no responsibility for it. Any non-ETH asset sent to the Royalty Share Contract is sent entirely at the sender's own risk.

Not an investment or entitlement

The royalty share is a discretionary feature offered to Holders as an enhancement of the Hodler NFT collectible. It is not consideration for the purchase of a Hodler NFT, not a dividend, not interest, not a profit share, not a security, not a financial instrument, and not a promise of any return. Holding a Hodler NFT does not entitle you to any income, share of project revenue, or fund interest. You should not acquire a Hodler NFT with the expectation of profit from this mechanism.

No guarantees

Amounts available under the royalty share depend entirely on secondary-market trading volumes for Hodler NFTs and on the willingness and ability of marketplaces, aggregators, and other third parties to enforce or pay royalties. All of those variables are outside our control and can change, decline, or be eliminated at any time. Without limiting the foregoing, we make no promise or warranty that:

  • any amount will ever be available to claim in respect of any Hodler NFT;
  • amounts available for claim will be of any particular size, or comparable to amounts received in the past;
  • marketplaces will continue to pay royalties on Hodler NFT trades, in whole or in part;
  • any royalty paid in an asset other than ETH (for example, a stablecoin or another token) will reach the Royalty Share Contract or be distributed through this mechanism at all;
  • the split between the project share and the holder share will remain at any particular level;
  • the smart contract will continue to function as designed indefinitely;
  • claim transactions will succeed, will execute within any particular timeframe, or will be available at any particular time.

Smart contract and technical risk

The royalty share smart contract is deployed on a public blockchain and is provided AS IS. It is subject to the same blockchain risks described in Section 13, including the risk of bugs, exploits, or interactions with other on-chain components that may result in losses or in funds becoming temporarily or permanently inaccessible. We cannot recover funds that are lost, stuck, or stolen due to such events. Your exclusive remedy for any failure of the mechanism is whatever the smart contract itself permits at the time of the failure.

Claims, taxes, and compliance

You are solely responsible for any taxes, reporting, and compliance obligations that arise from claiming or holding amounts paid through the royalty share mechanism in your jurisdiction. We do not provide tax or financial advice. If a wallet attempting a claim is associated with sanctioned persons, illicit activity, or any use prohibited under Section 14, we may take any action reasonably available to us under applicable law to prevent the claim from the Website, and we will not be liable for losses arising from such action.

9. Naming your Hodler NFT

How the feature works

The Website offers an optional naming feature for tokens in the Crypto Hodlers and Crypto Todlers collections, through naming smart contracts deployed on Ethereum. Tokens in other Hodler NFT collections (for example, Soul of Ukraine) do not expose an on-chain naming surface and cannot be renamed. Setting or changing the on-chain Name of an eligible Hodler NFT costs a fixed amount of NCT per change, paid to the relevant naming contract by the Holder. NCT is a separate ERC-20 token whose price, liquidity, listings on any third-party venue (including decentralized exchanges), and continued availability are outside our control. The rename transaction is recorded on a public blockchain and cannot be reversed by us, and NCT consumed by a rename cannot be refunded. Names are not permanent — a Holder may change a Name at any time by paying the fee again — but each change is itself an on-chain action and is subject to the same irreversibility.

You choose the Name; you own the consequences

The Name is chosen entirely by you. You are solely responsible for what you pick, including whether the Name uses a real person's name, a trademark or trade name, a brand, a title of a copyrighted work, or any other element that could give rise to a third-party claim. We do not vet Names for impersonation, defamation, infringement of trademarks, or other third-party rights, and we make no representation that any Name is available for you to use, free of third-party claims, or otherwise lawful in your jurisdiction. The indemnity in Section 18 applies to your choice of Name in the same way as to any other use of the Website.

What we will and won't do about Names

The Project applies a basic profanity filter to Names. The same filter runs at two points: when a Name is submitted through the Website, and when the Project's NFT metadata service returns Name data to third parties (for example, marketplaces and explorers that read token metadata from our API). The filter rejects, omits, or substitutes certain categories of obviously objectionable content, including some profanity. It is not a content policy, is not exhaustive, and may be changed at any time without notice. Where we become aware of a Name on a Hodler NFT that, in our sole judgment, is hateful, harassing, sexually explicit, doxxing, or otherwise seriously objectionable, we may also hide, replace with a placeholder, or otherwise refuse to display that Name on other Website surfaces we control — for example, profile pages, collection pages, and sharing cards generated by the Website. We cannot change or remove the on-chain Name itself, the on-chain Name remains visible on blockchain explorers and any third-party tool that reads it directly from the relevant contract (bypassing our metadata service), and we do not control and accept no responsibility for how third parties display Names. Our decision to moderate or not to moderate a particular Name is at our sole discretion and does not create any obligation to moderate any other Name. We are not responsible for Names chosen by users or for any harm arising from the display of those Names anywhere.

10. Wallets, minting, and secondary markets

You are responsible for your own wallet, private keys, seed phrases, and any device or service you use to access them. We cannot recover lost keys, reverse transactions, or restore access to a wallet that has been compromised. Any transaction you sign is your responsibility.

Hodler NFTs may be sold or transferred on third-party marketplaces and platforms (for example, OpenSea). Those marketplaces are operated by third parties under their own terms, and we are not a party to, and have no control over, transactions that take place there. Royalty payments and creator fees are determined by the rules and policies of those marketplaces and may change without our consent.

You are responsible for any taxes that apply to your acquisition, holding, use, or sale of a Hodler NFT or any derivative work you create from the Art.

By minting, purchasing, or otherwise acquiring a Hodler NFT, renaming a Hodler NFT, or initiating any other on-chain action through the Website, you expressly request the immediate performance of that operation on the underlying blockchain and acknowledge that, because the transaction is recorded on a public blockchain and is technically irreversible, any statutory right of withdrawal from a distance contract for digital content that would otherwise apply is waived to the maximum extent permitted by applicable law.

11. Accounts and wallet linking

How an Account works

To use Account features on the Website — for example, a public profile, linked social identifiers, Memories (the Website's name for the achievements you earn through participation in the Project and on-chain activity), or features that require signing in — you sign a short challenge message with a wallet and the Website creates and maintains an off-chain Account associated with that signature. You may link one or more additional wallets to the same Account by signing a fresh challenge with each wallet, either by connecting that wallet in your browser or, where the Website offers it, by signing the challenge in another environment of your choice and submitting the signature through the Website.

Primary wallet

Where you have more than one wallet linked to an Account, one of them is designated as the Primary wallet. The Primary wallet is the address by which the Account is publicly displayed on the Website (for example, on your public profile), and the one we will use as the Account's representative whenever a process needs to pick a single wallet per Account. You can change which linked wallet is Primary at any time from the Account interface; doing so does not affect the on-chain ownership of any token. We make no commitment that any particular benefit, allocation, or off-Website activity will be directed to the Primary wallet rather than to any other linked wallet.

Signature is the only proof we recognize

The Account system is authenticated entirely by wallet signatures. The only proof of control over a wallet that the Website recognizes is a valid signature of a current challenge by that wallet. We do not verify the off-chain identity of any Account holder. Anyone in possession of a wallet's signing key — you, or anyone you have shared the key with, or anyone who has obtained it without your authorization — is treated by the Website as authorized to sign in with that wallet and to take any Account action available through it.

Wallets move between Accounts based on signature proof

If a wallet that is currently linked to one Account is used to sign a challenge for another Account, the Website moves the wallet to the other Account. We do not have a mechanism to reverse this movement, and we cannot reverse it on your behalf. When a wallet moves between Accounts, the Project carries off-chain history forward with the move — migrating relevant state to the destination Account and reflecting the change on the prior Account. This is how the system is intended to work, but we cannot guarantee that any particular off-chain state will be preserved, transferred, or recalculated correctly in a given move, and some state may be lost, duplicated, or only partially carried across. Your on-chain ownership of any Hodler NFT is not affected by any Account movement: the NFT remains in the wallet that holds it.

Manual signature linking and phishing risk

The Website offers a manual linking flow that lets you sign the challenge in an environment of your choice (for example, a hardware wallet, a smart-contract wallet, or an air-gapped device) and paste the resulting signature back into the Website. This flow exists to support setups that cannot easily connect in a browser, and it carries a specific risk: a signature you paste through this flow is treated as if you generated it yourself, against the message the Website showed you, in the same session. If you sign a message you obtained from another source — a Discord message, an email, a chat, a different website, or anyone who asked you to sign something — and then paste the resulting signature into our manual linking flow, the wallet that produced the signature will be linked to whichever Account that signature was created for, which may not be your Account. You are solely responsible for ensuring that any signature you paste was generated by you, against the exact message shown to you on the Website, in the same session. We have no technical means to detect or prevent socially-engineered signatures, and we disclaim all liability for Account-linking outcomes that arise from a user pasting a signature obtained from any third party.

Suspension and termination

Suspension or termination of Account access does not affect your on-chain ownership of any Hodler NFT. The rules for suspension and termination of Account and Website access are set out in Section 19.

12. Memories and Leaderboard

The Website tracks "Memories" — achievements you earn through your participation in the Project and your on-chain activity — and ranks Holders on a public Leaderboard by Memory score. Your Memories, score, rank, avatar, and Primary wallet are shown publicly on your profile and on the Leaderboard.

Memories and Leaderboard rank are a gameplay feature. Earning them doesn't guarantee any airdrop, token, allowlist spot, future drop, revenue share, or other reward, on or off the Website, and you should not acquire a Hodler NFT expecting one. If we choose to tie any future Project benefit to Memories or Leaderboard standing, the rules will be set out at that time. We may also add, retire, retune, or recompute Memories and scoring over time as the feature evolves.

Memories reflect your current standing rather than a permanent record. If the underlying condition for a Memory no longer holds — for example, you no longer hold the relevant Hodler NFT, you have unlinked a social account, or we have updated how the Memory is calculated — the Memory may stop being awarded, and your score and Leaderboard rank may change accordingly.

13. Blockchain risks

You acknowledge and accept that blockchain networks, smart contracts, and crypto wallets carry significant technical and financial risks, including:

  • network congestion, downtime, hard forks, reorganizations, and changes in protocol rules;
  • bugs, vulnerabilities, or exploits in smart contracts, including our own, and in third-party tools, wallets, bridges, marketplaces, and infrastructure;
  • loss of access if you lose your private keys or seed phrase, or if your wallet is compromised;
  • regulatory changes that may affect the legality, availability, or value of NFTs in your jurisdiction;
  • fluctuations in the value of crypto assets and NFTs, including the possibility that they may lose all value.

You accept these risks as part of your decision to interact with the Website, the smart contracts, and the Hodler NFTs. Decentralized blockchain transactions are typically irreversible, and we cannot undo them.

14. Acceptable use of the Website

When using the Website, you agree not to:

  • use the Website in any way that violates applicable law, infringes the rights of others, or breaches these Terms;
  • use the Website or any Hodler NFT to facilitate money laundering, the financing of terrorism, the evasion of sanctions, tax evasion, or any other illicit financial activity;
  • attempt to gain unauthorized access to the Website, related systems, or other users' wallets or Accounts;
  • submit any signature through the Website's manual wallet linking flow that you did not personally generate, against the exact message shown to you on the Website, in the same session — including signatures you obtained from another person by request, deception, or any other means;
  • introduce malware, viruses, or other harmful code, or interfere with the operation of the Website;
  • scrape, crawl, or harvest content or data from the Website at a scale or rate that disrupts normal use;
  • impersonate the Project, the team, or any other Holder, or misrepresent your affiliation with any person or organization;
  • choose for a Hodler NFT you control a Name that, in our reasonable view, is hateful, harassing, sexually explicit, doxxing, or otherwise seriously objectionable;
  • use the Website to conduct fraudulent, deceptive, or manipulative activity, including phishing, scams, or market manipulation.

15. Third-party services and links

The Website may link to or interact with third-party services, including wallet providers, blockchain explorers, NFT marketplaces, social media platforms, and other websites. Those services are operated by third parties under their own terms and privacy policies. We do not control them and are not responsible for their content, availability, security, or practices. Your use of any third-party service is at your own risk.

16. Service provided "as is"

The Website, the smart contracts, the Hodler NFTs, the Art, and everything else provided by us are made available on an "as is" and "as available" basis, with all faults and without warranty of any kind. To the maximum extent permitted by law, we disclaim all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.

We do not warrant that the Website or any smart contract will be free of bugs, errors, or vulnerabilities, that defects will be corrected, or that the Website, the Hodler NFTs, or the Art will continue to be available or supported in any particular form for any particular length of time.

17. Limitation of liability

To the maximum extent permitted by applicable law, in no event will the Project, the team, or anyone working with us be liable to you for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, opportunity, privacy, value of crypto assets or NFTs, business interruption, or substitute goods or services, arising out of or in connection with these Terms, the Website, the smart contracts, the Hodler NFTs, or the Art, even if we have been advised of the possibility of such damages and even if any remedy fails of its essential purpose.

To the maximum extent permitted by applicable law, our total aggregate liability to you for all claims arising out of or in connection with these Terms will not exceed one thousand US dollars (USD 1,000), and in no event will it exceed the amount you actually paid to us, whether through a smart contract operated by us or otherwise, for minting the Hodler NFT or for the service to which the claim relates. Amounts you paid to any third party, including any seller on a secondary marketplace, are not amounts paid to us and do not count toward this cap.

Some jurisdictions do not allow certain limitations on liability or warranties; in those jurisdictions, our liability is limited to the greatest extent permitted by law.

Nothing in this Section excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for intentional misconduct or gross negligence on our part.

18. Your responsibility for your own use

You agree to defend, indemnify, and hold harmless the Project, the team, and anyone working with us from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Website; (b) your use of the Art and any derivative works you create, distribute, or commercialize; (c) your breach of these Terms or of any applicable law; (d) your infringement of any third party's rights; (e) any Name you choose for a Hodler NFT, including any claim that the Name uses a real person's name without authorization, infringes a trademark or other intellectual property right, or otherwise violates a third party's rights; and (f) any signature you submit through the Website's wallet linking flows and the linking, unlinking, or movement of wallets between Accounts performed as a result.

19. Suspension and termination of access

We may suspend or terminate your access to the Website, or restrict your ability to interact with our services, acting in good faith and on reasonable grounds — for example, where we believe you have breached these Terms, acted unlawfully, or created a risk for the Project or for other users. Where reasonably practical we will give you prior notice; where immediate action is required to protect the Project, other users, or the integrity of the Website, we may act first and notify you afterwards.

Suspension or termination of Website access does not affect your on-chain ownership of any Hodler NFT — that remains in your wallet — but it may end your access to off-chain features, such as Account areas, community programs, or claim interfaces, while the suspension is in effect.

20. Changes to these Terms

We may modify these Terms from time to time. When we make a material change, we will update the "Last updated" date at the top of this page and, where reasonably practical, give notice through one or more of our official channels (for example, the Website, our Discord server, or our X account). A single visible announcement in any one of our official channels is sufficient notice for the purposes of these Terms. Your continued use of the Website or continued holding of a Hodler NFT after a change takes effect means you accept the updated Terms. If you do not accept a change, your remedy is to stop using the Website and to transfer or sell your Hodler NFTs.

21. Governing law and disputes

These Terms are governed by the laws of Ukraine, without regard to its conflict-of-law principles. Mandatory consumer-protection rules of your country of residence continue to apply where applicable law requires.

Before starting any formal proceedings, you agree to first try to resolve any dispute informally by contacting us through the channels in Section 23 and giving us a reasonable opportunity — at least sixty (60) days — to resolve the matter in good faith. If the dispute is not resolved within that period, either party may pursue any remedies available under applicable law in a court of competent jurisdiction. For disputes brought by us, the competent court is the court at the place of the Project's operations in Ukraine. For disputes brought by consumers, mandatory consumer-protection rules of the consumer's country of residence determine the competent court.

22. Miscellaneous

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if that is not possible, severed from these Terms. The remaining provisions remain in full force and effect.

No waiver

Our failure to enforce any provision of these Terms is not a waiver of that provision or of our right to enforce it later.

Assignment

You may not assign or transfer your rights or obligations under these Terms (other than the automatic transfer of the Art license together with a Hodler NFT, as described in Section 5). We may assign these Terms to a successor of the Project, including any legal entity we form in the future to operate Crypto Hodlers.

Entire agreement

These Terms, together with any other notices and policies we publish on the Website, are the entire agreement between you and us regarding the Website, the Hodler NFTs, and the Art, and replace any prior understandings on the same subject.

Force majeure

Neither we nor you are liable for any failure or delay in performance caused by events outside reasonable control — including acts of war, mobilization, sieges, blackouts, infrastructure failures, internet or blockchain network outages, government measures, epidemics, fires, floods, and similar events. Affected obligations are suspended for the duration of the event, and resume as soon as performance is reasonably possible again.

Mandatory rights

Nothing in these Terms limits or excludes any right you have under mandatory consumer-protection or other mandatory laws of your country of residence. Where any provision of these Terms conflicts with such a mandatory rule, that rule prevails over the conflicting provision only to the extent of the conflict, and the rest of these Terms remain in full force.

Personal data

Our processing of any personal data we collect from your use of the Website is governed by our separate Privacy Policy, available on the Website at /privacy.

Language

These Terms are written in English. A Ukrainian translation may be made available for convenience; in case of any discrepancy between the Ukrainian and English versions, the English version controls.

You can reach us through the official Crypto Hodlers channels linked from the Website footer, including our Discord server and our X (Twitter) account. For legal notices and dispute matters under Section 21, please email apxu@hodlerlab.com with a clear subject line identifying your message as a legal notice. If email is unavailable, send your notice through our official Discord server.
